Welcome to Hikari Canvas Studio. These Terms of Service ("Terms") govern your access to and use of our website, services, and educational programs. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
Acceptance and Modification of Terms
By creating an account, enrolling in courses, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Hikari Canvas Studio.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of our services after such changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.
Account Registration and Eligibility
To access certain features of our services, you must create an account by providing accurate, current, and complete information. You must be at least 16 years of age to create an account. If you are under 18, you represent that you have obtained parental or guardian consent to use our services.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful activities.
Membership Plans and Enrollment
Hikari Canvas Studio offers various membership plans and individual courses. By enrolling in a membership or course, you agree to pay all applicable fees as described at the time of purchase. Membership fees are billed on a recurring basis according to the plan you select, and courses may be offered as one-time purchases or limited-duration enrollments.
All fees are non-refundable except as expressly stated in our refund policy. We reserve the right to change our pricing and membership benefits at any time, with notice to existing members. Price changes will not affect your current billing cycle but will apply to subsequent renewals.
Payment Terms and Billing
You agree to provide valid payment information and authorize us to charge your payment method for all fees incurred under your account. Payments are processed securely through third-party payment processors. If a payment fails, we may suspend your access to paid features until payment is received.
You are responsible for all applicable taxes associated with your purchase. We will charge applicable taxes where required by law. If you believe you have been incorrectly charged, please contact us within 30 days of the charge.
Cancellation and Refund Policy
You may cancel your membership at any time through your account settings. Cancellations will take effect at the end of your current billing period, and you will retain access to membership benefits until that time. No refunds will be provided for partial billing periods.
For individual courses, we offer a 7-day refund period from the date of purchase, provided you have not completed more than 25% of the course content. Refund requests must be submitted in writing to our customer support team. Refunds will be processed within 10 business days of approval.
Intellectual Property Rights
All content provided through our services, including but not limited to course materials, videos, text, graphics, logos, software, and trademarks, is the property of Hikari Canvas Studio or its licensors and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use our content solely for your personal, non-commercial educational purposes. You may not reproduce, distribute, modify, create derivative works, publicly display, or otherwise exploit any content without our prior written permission.
User-Generated Content and Submissions
Our services may allow you to submit artwork, comments, feedback, and other content. You retain ownership of your submissions, but by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content in connection with operating and promoting our services.
You represent and warrant that you own or have the necessary rights to submit your content and that your content does not infringe the rights of any third party. We reserve the right to remove any content that violates these Terms or is otherwise objectionable, without prior notice.
Acceptable Use and Conduct Standards
You agree to use our services only for lawful purposes and in accordance with these Terms. You will not use our services to harass, abuse, or harm others; upload viruses or malicious code; attempt to gain unauthorized access to our systems; impersonate others; or engage in any activity that disrupts or interferes with our services.
You will not share your account credentials with others, use automated systems to access our services, or engage in any commercial use of our content without authorization. Violations of this section may result in immediate termination of your account and legal action.
Live Class Participation Guidelines
Live classes are an integral part of our services. By participating in live classes, you agree to respect instructors and fellow students, arrive on time, and actively engage in the learning experience. Recording live classes without permission is strictly prohibited.
We reserve the right to remove participants who disrupt classes or violate our community guidelines. Missed live classes due to your absence are not eligible for refunds or make-up sessions unless otherwise specified in your membership plan.
Disclaimers and Limitation of Liability
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our services will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, Hikari Canvas Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to lost profits, data loss, or business interruption, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
Indemnification Obligations
You agree to indemnify, defend, and hold harmless Hikari Canvas Studio, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your violation of these Terms, or your infringement of any third-party rights.
This indemnification obligation will survive termination of these Terms and your use of our services.
Dispute Resolution and Arbitration
Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the Japan Commercial Arbitration Association. The arbitration shall be conducted in Tokyo, Japan, in English or Japanese as mutually agreed.
You agree to waive any right to a jury trial or to participate in a class action lawsuit. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property rights.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts located in Tokyo, Japan, and you consent to the personal jurisdiction of such courts.
Termination Rights and Effects
We reserve the right to suspend or terminate your account and access to our services at any time, with or without cause or notice, including if we believe you have violated these Terms or engaged in fraudulent or harmful conduct. Upon termination, your right to access and use our services will immediately cease.
Sections of these Terms that by their nature should survive termination, including but not limited to intellectual property rights, disclaimers, indemnification, and dispute resolution provisions, shall survive any termination of these Terms.
Miscellaneous Provisions
These Terms constitute the entire agreement between you and Hikari Canvas Studio regarding your use of our services and supersede any prior agreements. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms at any time without notice.
